Type I and Type II "Preliminary Agreements" Defined

The distinction between Type I and Type II preliminary agreements is explained over at the Tennessee Business Litigation Law Blog.

Type I agreements contain the material terms of the parties' bargain and are enforceable as a contract even though the parties contemplate signing a formal contract later. Type II agreements establish a framework for a bargain but create only a duty to negotiate in good faith.
